These Terms and Conditions govern your access to and use of humanannotation.com and any services made available through the website. By using this website or engaging our services, you agree to be bound by these Terms.

Definitions

For clarity, the following terms have these meanings:

  • Agreement – The written contract, proposal, and related documents that define our services.
  • Client Content – Data, materials, or information provided by the client for use in the services.
  • Deliverables – Outputs or results created as part of the services.
  • Company Tools – Proprietary systems, templates, frameworks, or software used by humanannotation.com.
  • Final Deliverables – Completed work provided after services are performed.
  • Project – The defined scope of work outlined in the Agreement.
  • Services – Any annotation, labeling, consulting, or related work provided by us.
  • Third-Party Materials – External tools, content, or resources used in connection with services.

How Services Are Delivered

We deliver services based on the scope, milestones, and schedules set out in the Agreement. We apply reasonable professional judgment and commercially acceptable efforts when performing the work.

Client cooperation, including timely feedback and access to required materials, is necessary to meet delivery timelines.

Proposals and Scope of Work

Proposals are valid for 30 days unless otherwise stated. If not accepted within that timeframe, we may revise and resubmit them.

The scope in the Agreement defines what work will be completed. Additional work outside that scope must be agreed in writing before it begins.

Fees, Expenses, and Taxes

Unless otherwise specified:

  • Third-party costs are billed separately
  • Agreed expenses may be charged at cost
  • Clients are responsible for any applicable taxes

Payment Terms

Invoices are due within five (5) days from the date issued unless otherwise agreed in writing. Payments may follow a milestone-based schedule.

Delays in payment may affect delivery schedules.

Changes to Project Scope

All change requests must be made in writing.

Minor adjustments that do not materially impact cost or timeline may be implemented without a formal amendment. More significant changes that affect price, schedule, or deliverables require a revised Agreement.

Revised proposals should be accepted within fourteen (14) working days.

Project Delays

If a delay arises due to missing client input, approvals, or resources, timelines will be extended accordingly.

Delays arising from causes outside reasonable control — such as technical service interruptions — may also justify timeline adjustments.

Review and Acceptance

Deliverables undergo internal review before submission.

Clients have seven (7) working days to review delivered work and request revisions within scope. If no feedback is provided within this period, deliverables may be considered accepted.

Client Duties

Clients agree to:

  • Provide accurate, lawful, and ready-to-use information
  • Ensure content provided does not infringe third-party rights
  • Provide timely decisions and access as needed
  • Review deliverables for completeness unless otherwise agreed

Accreditation and Use Rights

Unless agreed otherwise in writing, we may reference completed work in our portfolio or informational materials.

Confidential Information

Both parties agree to protect confidential information exchanged during the engagement.

Confidentiality does not apply to information that is public or lawfully obtained from an independent source.

Independent Contractor Status

humanannotation.com operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

We may use subcontractors while remaining responsible for service delivery.

Limitation of Liability

To the extent permitted by applicable law, services are provided without guarantees beyond those expressly stated. Our liability is limited to the amount paid for the services associated with any claim.

Rights to Work Produced

Upon full payment, the client obtains a non-exclusive, worldwide, perpetual license to use the Final Deliverables as agreed.

All Company Tools, processes, and methodologies remain our property unless otherwise transferred in writing.

Support Services

Support or maintenance services are provided only if agreed in writing. Such services may be billed separately. Any warranty may be void if deliverables are modified by others without authorization.

Updates to These Terms

We may revise these Terms and Conditions at any time. The version posted on humanannotation.com at the time of your use governs the relationship. Continued use signifies acceptance of any updates.
